CAPFLOW INC. · LEGAL INFORMATION

Terms of Use

Please review these Terms of Use before accessing our website or submitting a business funding inquiry. They explain the conditions governing use of CAPFLOW’s website and online services.

Last updated: October 13, 2026

Important: CAPFLOW INC. is a business funding intermediary, not a direct lender. Funding decisions, amounts, costs, repayment arrangements, and approvals are determined by the applicable third-party funding provider.

01. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the website located at https://capflow.ca (the “Website”) and related online services provided by CAPFLOW INC. (“CAPFLOW,” “we,” “us,” or “our”).

By accessing or using the Website, you agree to these Terms to the extent permitted by applicable law. If you do not agree, please discontinue use of the Website.

Additional terms may apply to specific services, financing offers, electronic authorizations, or agreements with funding providers. In the event of a conflict, the applicable signed agreement governs the transaction to which it relates.

02. About CAPFLOW

CAPFLOW INC. operates as a Canadian business funding intermediary, assisting businesses in exploring financing and working capital options offered by third-party providers.

Depending on availability and eligibility, these options may include business term loans, lines of credit, merchant cash advances, equipment financing, and other commercial funding arrangements.

Unless expressly stated otherwise in a separate written agreement, CAPFLOW does not itself extend credit, advance funding proceeds, or make final underwriting or funding decisions.

CAPFLOW is not acting as your legal, accounting, tax, or independent financial adviser merely because you use the Website or submit an inquiry.

03. Eligibility to Use the Website

Our business funding services are intended primarily for Canadian businesses and their authorized representatives.

By submitting a business funding inquiry, you represent that you have reached the age of majority in your jurisdiction and have the necessary authority to act on behalf of the business identified in the application.

You must not submit information on behalf of another person or business without appropriate authorization.

04. Website Information

Content published on the Website is provided for general informational purposes.

Product descriptions, illustrative funding amounts, potential terms, processing timelines, and other information do not constitute binding offers, guaranteed rates, or commitments to provide financing.

We endeavour to keep information accurate and current, but product availability and provider criteria may change without notice.

05. Business Funding Applications

Submitting an inquiry or application through CAPFLOW does not guarantee that financing will be offered or approved.

Applications may be subject to business verification, identity verification, credit assessment, bank statement analysis, financial review, and other underwriting requirements.

CAPFLOW or a funding provider may request additional documents or clarification before an application can proceed.

You are not obligated to accept a financing offer solely because you submit an application. Any obligations arising from an accepted offer are governed by the applicable agreement.

06. Third-Party Funding Providers

CAPFLOW may introduce or refer eligible applicants to independent funding providers.

Such providers establish their own underwriting requirements, approval conditions, pricing, documentation requirements, and contractual obligations.

CAPFLOW does not guarantee the performance, decisions, products, or services of any third-party provider.

CAPFLOW may receive compensation from funding providers for successful referrals, placements, or funded transactions. Any applicant-facing fee must be disclosed where required by applicable law or agreement.

07. Financing Terms and Costs

Financing terms vary depending on the provider, applicant, product type, and underwriting assessment.

Terms may include funding amounts, repayment or remittance schedules, interest, fees, purchased receivables amounts, security requirements, guarantees, or other contractual conditions.

Merchant cash advances may be structured as purchases of future business receivables rather than conventional loans. The legal and economic characteristics of any arrangement depend on its actual terms and applicable law.

Applicants should carefully review all financing documents and obtain independent professional advice where appropriate before signing.

08. Accuracy of Submitted Information

You agree to provide information that is accurate, complete, current, and not misleading when using our services.

This includes business ownership, revenue, existing financing obligations, bank statements, financial statements, and supporting documentation.

You must not submit altered, fabricated, unauthorized, or fraudulent documents.

Material inaccuracies or suspected misrepresentations may result in an application being suspended, declined, or referred for further review.

09. Verification and Authorizations

Funding applications may require verification of business information, ownership, financial activity, identity, and creditworthiness.

Any consent to obtain credit reports, access bank information, share personal information with funding providers, or use third-party verification services must be obtained through an appropriate disclosure or authorization process where required by law.

Merely visiting this Website does not authorize CAPFLOW or any funding provider to obtain a personal credit report or access your bank accounts.

Additional consent language may appear in application forms or separate authorization documents.

10. Electronic Communications

By submitting your contact information, you may receive communications reasonably necessary to respond to your inquiry, process your application, request documentation, or provide information concerning your funding request.

Communications may occur through email, telephone, or other contact methods you provide, subject to applicable law and your communication preferences.

Promotional or marketing electronic communications will be sent only where permitted under applicable Canadian anti-spam legislation. Where required, such messages will include an unsubscribe mechanism.

Consent to receive marketing communications is not a condition of submitting a funding application.

Electronic signatures and electronic records may be used where legally valid and appropriately authorized.

11. Privacy and Cookies

The collection, use, disclosure, retention, and protection of personal information are addressed in our Privacy Policy .

Our Website may use cookies and similar technologies for essential functionality, analytics, and advertising, subject to applicable consent requirements and your preferences.

Where available, you may manage optional cookie preferences through the Website’s consent management controls.

Nothing in these Terms limits privacy rights or obligations established by applicable law.

12. Document Uploads and Security

When submitting documents, you must ensure that you have the legal authority to provide the information contained in them.

Documents may include business bank statements, financial statements, identification, and other materials requested for underwriting or verification.

Do not submit online banking passwords, PINs, or other authentication credentials through our document upload forms.

While CAPFLOW takes reasonable measures appropriate to its operations to protect submitted information, no online system can be guaranteed completely free from security risks.

Document processing and retention are subject to our applicable privacy practices and legal obligations.

You agree not to misuse the Website or interfere with its operation.

Prohibited activities include:

  • Providing false or misleading information.
  • Attempting unauthorized access to systems or data.
  • Introducing malware or harmful code.
  • Using automated tools to scrape or disrupt the Website without authorization.

  • Using the Website for fraudulent or unlawful purposes.
  • Infringing intellectual property or privacy rights.

You may access and use the Website for legitimate personal or business informational purposes.

You may not reproduce, redistribute, commercially exploit, or misrepresent our proprietary materials without permission, except as permitted by law.

15. External Websites and Services

The Website may contain links to third-party websites, service providers, or verification platforms.

These third parties may operate under separate terms of use and privacy policies.

CAPFLOW is not responsible for the content or practices of external websites that it does not control, except to the extent required by applicable law.

16. Website Availability and Security

We may update, maintain, suspend, or modify Website functionality from time to time.

We do not guarantee uninterrupted access, error-free operation, or compatibility with every device or browser.

You are responsible for taking reasonable precautions when using internet-based services, including protecting your own devices and login credentials.

17. Disclaimers

To the extent permitted by applicable law, the Website and its general informational content are provided on an “as available” basis, without guarantees concerning uninterrupted operation, completeness, or suitability for any particular purpose.

CAPFLOW does not guarantee approval, funding availability, specific pricing, funding timelines, or business outcomes.

Nothing in these Terms excludes warranties, representations, rights, or remedies that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by applicable law, CAPFLOW will not be liable for indirect, incidental, special, or consequential losses arising from the use of the Website or reliance on general Website content, including lost business opportunities or anticipated profits.

This provision does not limit liability that cannot legally be excluded or restricted, including liability arising from conduct for which exclusion is prohibited by law.

These Terms do not replace or override liability provisions contained in any separate signed financing agreement.

19. Indemnification

To the extent permitted by applicable law, you agree to indemnify CAPFLOW against reasonable third-party claims, losses, and expenses arising directly from your fraudulent conduct, unlawful misuse of the Website, or intentional infringement of another party’s rights.

This provision does not require you to indemnify CAPFLOW for its own unlawful conduct or negligence where doing so is prohibited by law.

20. Changes to These Terms

CAPFLOW may revise these Terms to reflect changes in its services, Website functionality, or applicable requirements.

Updated Terms will be published on this page with a revised “Last updated” date.

Where applicable law requires advance notice or additional consent for a change, CAPFLOW will comply with those requirements.

Changes do not retroactively modify signed financing agreements unless lawfully agreed.

21. Governing Law

Subject to mandatory laws and jurisdictional protections that apply, these Terms are governed by the laws of the Province of Québec and the applicable federal laws of Canada.

Any dispute relating to these Terms will be addressed before a court having competent jurisdiction under applicable law.

Nothing in this section deprives a person of rights or remedies that cannot lawfully be waived.

22. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Failure by CAPFLOW to enforce a provision on one occasion does not necessarily constitute a waiver of its right to enforce that provision later.

These Terms govern use of the Website and do not, by themselves, create a lender-borrower relationship, partnership, fiduciary relationship, or financing commitment.
